2. About These Terms
2.1 These terms apply to all services provided by The Friendly Website Co., including website design, redesigns, maintenance, updates, support, branding, logo design, booking systems and social media services.
2.2 Your accepted quotation and these Terms & Conditions form our agreement. Any specific arrangements agreed in writing will take precedence over these general terms, subject to applicable law.
2.3 I may update these terms occasionally. The version accepted when your project begins will apply to that project.
2.4 For ongoing services, I'll give at least 30 days' written notice of material changes. If a change materially disadvantages you, you may cancel the affected ongoing service before it takes effect without an additional cancellation charge.
3. Quotations and Getting Started
3.1 I offer a free, no-obligation initial discussion to understand your business and requirements.
3.2 I'll provide a written quotation outlining the work included, agreed price, estimated timescale and any additional services or costs.
3.3 Quotations remain valid for 30 calendar days unless otherwise stated.
3.4 Our agreement begins when you accept the quotation and these terms in writing. Email or WhatsApp confirmation is perfectly acceptable.
3.5 No deposit is required before work begins.
3.6 The agreed price covers the work detailed in your quotation. Additional pages, features or substantial changes outside the original scope will be quoted separately and agreed before work begins.
4. What I'll Need From You
4.1 To keep your project running smoothly, I'll need you to provide relevant information and materials, which may include:
Business details, services and contact information
Website text, photographs and logos
Prices, opening hours and other important details
Access to existing websites or accounts where necessary
Feedback and approval at appropriate stages
4.2 Please aim to respond to requests for information or feedback within 7 calendar days, wherever reasonably possible.
4.3 You are responsible for checking that the information supplied for your website is accurate and up to date.
4.4 You confirm that you own or have permission to use any text, images, logos or other materials you provide.
4.5 Delays in receiving information or feedback may affect your estimated completion date.
5. Website Design and Development
5.1 Website Packages
Your quotation will confirm the number of pages, features and services included in your chosen package.
5.2 Revisions and Amendments
I want you to be happy with your website and will work with you to achieve the best possible result.
The number of revisions or hours of amendment time included will be confirmed in your quotation.
Reasonable changes to the agreed design, layout, images and content are normally covered by these allowances.
Additional pages, substantial redesigns or new features outside the original agreement may incur additional charges, which will always be discussed and agreed beforehand.
5.3 Testing and Launch
Before presenting your website for approval, I'll carry out reasonable checks across commonly used desktop, tablet and mobile screen sizes.
Once the website is ready, I'll provide a link for you to review.
Your website will not normally be published until you've approved it and the necessary hosting arrangements are in place.
5.4 Training
Where training is included, I'll explain how to manage and update your website.
The amount of training and how it will be delivered will be confirmed in your quotation.
Additional training can be arranged separately.
5.5 Search Engine Optimisation (SEO)
Where included, basic SEO may cover page titles, descriptions, headings, mobile-friendly design and search engine visibility settings.
Although I'll follow good SEO practices, I cannot guarantee specific search engine rankings, website traffic, enquiries or sales.
6. Prices, Payment and Website Approval
6.1 Agreed Prices
All prices are confirmed in writing before work begins.
The Friendly Website Co. is not VAT registered, so no VAT will be added to any quotation or invoice.
6.2 Payment Terms
No deposit is required for website design projects.
Once the agreed website development work has been substantially completed, I'll send you a link to review your website together with your invoice.
Payment is due within 7 calendar days of receiving your website link for approval and the corresponding invoice.
Payment is not dependent on you requesting or using every revision included in your package.
Any outstanding amendments included in your quotation will still be honoured after payment.
Paying your invoice does not mean you've waived your right to have agreed work completed or defects corrected.
6.3 Overdue Payments
If payment hasn't been received by the due date, I'll send a friendly reminder.
Where payment remains outstanding, I may pause further non-essential work or withhold final handover, subject to your statutory rights.
I'll always make reasonable attempts to contact you before taking further action.
7. Domains, Hosting and Email
7.1 Domain registration, website hosting and business email services are not included in website design prices unless specifically stated in your quotation.
7.2 Any additional charges or subscriptions will be explained before you commit to them.
7.3 Where possible, domain names will be registered in your name or your business's name, even where I assist with their management.
7.4 Hosting, domains and email services are generally supplied by independent third-party providers and are subject to their terms.
7.5 I cannot guarantee uninterrupted website or email availability because these services rely on third-party infrastructure.
7.6 Failure to renew domain or hosting subscriptions may result in service interruption or loss of the domain, depending on the provider's terms.
7.7 Some websites are built using hosted website-building platforms and may not be directly transferable to another hosting provider.
7.8 If you decide to move providers, I'll explain any known restrictions and offer reasonable assistance. Additional migration work may be charged separately, with the price agreed beforehand.
8. Website Ownership and Intellectual Property
8.1 Once payment has been received in full, you'll receive the agreed rights to the completed, original website design and deliverables created specifically for your project.
8.2 Any photographs, logos, text or other materials you supplied remain yours or subject to the rights of their original owners.
8.3 Third-party templates, website builders, fonts, plugins, stock images and software remain subject to their respective licences.
8.4 Payment does not transfer ownership of third-party platforms, proprietary software or tools used to build your website.
8.5 I may retain reusable templates, general design methods and tools that are not exclusive to your project.
8.6 Unless you request otherwise, I may feature completed work in my portfolio, website or social media as an example of my services.
I won't knowingly publish confidential information or unpublished business material without permission.
9. Third-Party Services and Booking Systems
9.1 Some websites rely on third-party software, including booking systems, payment providers, plugins and other integrations.
9.2 Where I install or configure these services, your quotation will explain what's included.
9.3 Unless otherwise agreed, third-party subscriptions and ongoing charges are payable by you.
9.4 I cannot guarantee that third-party services will remain unchanged, continuously available or free from technical problems.
9.5 If problems occur, I'll do my best to help identify the cause and advise on possible solutions.
Additional troubleshooting outside the original agreement may be chargeable, except where the problem results from work I'm responsible for correcting.
10. Maintenance and Ongoing Support
10.1 Website maintenance and ongoing support are separate services unless specifically included in your quotation.
10.2 Support may include content updates, image changes, minor layout adjustments, troubleshooting or general assistance.
10.3 The services, included time and charges will be confirmed in writing.
10.4 Unused monthly support time does not automatically roll over unless otherwise agreed.
10.5 I'll aim to respond to support enquiries within two working days, although this may vary depending on availability and the nature of the request.
10.6 Ongoing monthly services may be cancelled with 30 days' written notice unless otherwise agreed.
11. Branding and Logo Design
11.1 Branding packages may include logo design, colour palettes, font recommendations, basic brand guidelines and digital or print-ready files.
11.2 Your quotation will confirm the deliverables and included revisions.
11.3 Additional design concepts or substantial changes outside the agreed scope may incur additional charges.
11.4 Once payment has been received in full, you'll receive the agreed final files and rights to the original design created specifically for you, excluding third-party licensed elements.
11.5 I cannot guarantee that a proposed logo or business name is available for trademark registration. Specialist trademark checks remain your responsibility.
12. Social Media Services
12.1 Social media services may include content creation, graphics, captions, scheduling and account assistance, as agreed in your quotation.
12.2 Paid advertising budgets, boosted posts and platform subscription charges are excluded unless otherwise agreed.
12.3 Although I'll aim to create professional and engaging content, I cannot guarantee specific follower growth, engagement, enquiries or sales.
12.4 You are responsible for confirming the accuracy of business information, offers, prices and claims supplied for publication.
13. My Responsibilities and Liability
13.1 I'll carry out all work with reasonable care and skill.
13.2 I'll make reasonable efforts to meet agreed timescales, provided I receive the necessary information and feedback.
13.3 If work I've completed doesn't meet the agreed specification or applicable legal standards, please let me know so I can investigate and put things right where required.
13.4 I cannot guarantee that websites will be entirely free from technical issues or compatible with every future device, browser or software update.
13.5 I am not responsible for inaccuracies in information you supply or approve, except where the issue arises from my failure to exercise reasonable care and skill.
13.6 I am not responsible for failures caused solely by third-party services outside my reasonable control. This does not exclude responsibility for my own negligence or failure to exercise reasonable care and skill.
13.7 I cannot guarantee particular business results, profits, website traffic or search engine rankings.
13.8 For business customers, liability for indirect or consequential business losses is excluded where legally permitted. Any other limitation of liability must be reasonable and enforceable under applicable law.
13.9 Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot legally be excluded.
13.10 Nothing in these terms affects your statutory consumer rights.
14. Website Security and Backups
14.1 I'll take reasonable care when working on your website and handling access information.
14.2 Unless included in a maintenance agreement, ongoing backups, security monitoring and software updates are not automatically provided.
14.3 I recommend keeping copies of important website text, photographs and business documents.
14.4 Where websites are hosted by third-party providers, their backup and security arrangements will also be subject to the provider's services and terms.
14.5 No website or online service can be guaranteed to be completely secure.
15. Ending Our Agreement
15.1 Either party may end the agreement if the other commits a serious breach and fails to remedy it within 14 days of receiving written notice, where the breach can be remedied.
15.2 If you decide to end a website project before completion, I'll provide an account of work undertaken and any reasonable charges due under our agreement and applicable law.
15.3 Payment for work already carried out may become due, subject to any applicable consumer cancellation rights.
15.4 Where payment has been made for work not yet provided, any refund will be assessed fairly in accordance with the agreement and applicable law.
15.5 Where reasonably possible, I'll assist with transferring your domain, website content or other agreed materials if you decide to use another provider.
15.6 Any additional transfer work will be quoted separately.
16. Privacy and Data Protection
16.1 I'll handle personal information in accordance with applicable UK data protection law.
16.2 Information supplied for your project will be used to communicate with you, provide services, administer your account and meet relevant legal obligations.
16.3 Please refer to my Privacy Policy for further information.
16.4 If your website collects customer information through contact forms, booking systems or mailing lists, you are normally responsible for ensuring your business complies with applicable data protection requirements.
16.5 I can assist with adding privacy notices, cookie information and relevant website features, but this does not constitute legal advice or guarantee legal compliance.
16.6 Where I process personal data on your behalf, a separate data processing agreement may be required.
17. Complaints and Resolving Problems
I genuinely want every customer to have a positive experience.

I'll aim to acknowledge complaints within five working days and investigate them as promptly and fairly as possible.
18. Circumstances Outside My Control
18.1 Occasionally, circumstances outside either party's reasonable control may affect a project, including significant internet outages, third-party service failures, serious illness or unexpected emergencies.
18.2 If something prevents me from completing work as planned, I'll contact you as soon as reasonably possible to discuss the available options.
18.3 Neither party will be responsible for delays genuinely outside their reasonable control, except where the law provides otherwise.
18.4 If a significant delay continues, either party may have the right to end the agreement and settle outstanding work and payments fairly.
19. Governing Law
These Terms & Conditions are governed by the laws of England and Wales.
Disputes will be subject to the jurisdiction of the courts of England and Wales, except where applicable consumer law provides the right to bring proceedings elsewhere in the United Kingdom.
